Welcome to UnitPrints.

These Terms of Service (“Terms”) govern your access to and use of the UnitPrints website, mobile applications, online galleries, cloud storage services, ordering platform, and all related products and services (collectively, the “Services”).

By creating an account, uploading photographs, purchasing products, or otherwise using the Services, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you may not use the Services.

Throughout these Terms, the following definitions apply:

“UnitPrints,” “Company,” “we,” “our,” and “us” refer to UnitPrints, a division of Color Inc.

“Customer,” “you,” and “your” refer to any individual or organization using the Services.

“Images” means photographs, graphics, artwork, illustrations, digital files, videos, designs, logos, text, metadata, and any other content uploaded or stored through the Services.

“Account” means a registered UnitPrints user account.

“Storage+” means the Company’s paid cloud storage subscription.

“UnitPrints Pro” means the Company’s professional subscription program.

“Content” means any information uploaded, submitted, transmitted, stored, or displayed through the Services.

“Products” means photographic prints, albums, canvases, wall art, cards, gifts, digital downloads, and any other merchandise produced by UnitPrints.

2. Eligibility

To use the Services you must:

• be at least 18 years old or the legal age of majority where you reside;

• possess the legal authority to enter into binding contracts;

• provide accurate registration information;

• maintain current contact information;

• comply with all applicable laws.

If you are creating an account on behalf of a business, organization, school, church, sports league, or other entity, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Services you must create an account.

You agree to provide truthful and complete registration information and to promptly update any information that changes.

You are solely responsible for:

• maintaining the confidentiality of your password;

• restricting access to your account;

• all activity occurring under your account;

• notifying UnitPrints immediately of any unauthorized access.

UnitPrints is not liable for losses resulting from unauthorized use of your account.

4. Account Security

You are responsible for selecting a strong password and protecting your login credentials.

You agree not to:

• share your password;

• allow another person to access your account;

• impersonate another individual;

• create fraudulent accounts;

• attempt to gain unauthorized access to any other account.

We reserve the right to suspend or terminate accounts where security has been compromised.

UnitPrints provides online services including but not limited to:

• Cloud photo storage

• Online photo galleries

• Gallery sharing

• Client proofing

• Online ordering

• Professional photo printing

• Commercial printing

• Greeting cards

• Wall décor

• Digital downloads

• Image fulfillment

• Photographer workflow tools

• Subscription services

• Future products and services introduced by UnitPrints.

We continually improve our Services and reserve the right to modify, replace, discontinue, or add features without prior notice.

6. Acceptable Use

You agree to use the Services only for lawful purposes.

You may not upload, store, transmit, or distribute content that:

• infringes copyrights;

• violates trademarks;

• violates another person’s privacy;

• contains malware or viruses;

• promotes criminal activity;

• contains unlawful content;

• contains child sexual abuse material;

• contains material prohibited by United States law;

• interferes with the operation of the Services;

• attempts unauthorized access to Company systems.

UnitPrints reserves the sole right to remove any content that violates these Terms or applicable law.

7. Ownership of Your Images

You retain all ownership rights to the photographs and other content you upload.

Nothing in these Terms transfers ownership of your intellectual property to UnitPrints.

You represent and warrant that:

• you own the content you upload; or

• you possess all necessary licenses and permissions to upload, store, share, and print such content.

You are solely responsible for any copyright disputes arising from your uploads.

8. License Granted to UnitPrints

By uploading content, you grant UnitPrints a limited, worldwide, non-exclusive, royalty-free license to:

• store your images;

• host your images;

• back up your images;

• reproduce your images as necessary to provide the Services;

• generate previews and thumbnails;

• resize images;

• crop images;

• optimize images for printing;

• transmit images to trusted fulfillment partners when necessary;

• print ordered products;

• process digital downloads;

• maintain system backups;

• perform automated quality assurance.

This license exists solely for the purpose of operating the Services and terminates when your content is permanently deleted from our systems.

9. Artificial Intelligence & Automation

UnitPrints may utilize automated systems, machine learning, or artificial intelligence technologies to improve:

• image processing;

• cropping recommendations;

• print preparation;

• order routing;

• fraud detection;

• storage optimization;

• customer support;

• search functionality;

• quality assurance;

• operational efficiency.

These systems do not transfer ownership of your images to UnitPrints.

No customer images will be sold or licensed for unrelated commercial purposes without your separate consent.

10. Privacy

Your privacy is important to us.

Our collection, storage, processing, and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you consent to the collection and use of information as described in the Privacy Policy.

Part 2 — Image Storage, Subscriptions & Retention

11. Image Storage Services

UnitPrints provides online image storage as a convenience to customers using our Services.

Image storage is offered to facilitate photo ordering, gallery sharing, client proofing, and related workflow services. While UnitPrints utilizes enterprise-grade cloud infrastructure and industry-standard security practices, image storage should not be considered a substitute for maintaining your own backups.

Customers are solely responsible for maintaining copies of all original photographs and digital files.

12. Account Types

Image retention policies vary based upon the customer’s account type.

Current account offerings include:

• Free Account

• Storage+

• UnitPrints Pro

UnitPrints may introduce, modify, rename, or discontinue account types at any time.

Current plan features and pricing are published on our website.

13. Free Account Image Retention

Images uploaded under a Free Account are retained for up to 365 days from the date they are uploaded.

After 365 days, eligible images may be permanently removed from UnitPrints’ storage systems.

Image deletion is based on upload age and is independent of account login activity.

Logging into a Free Account does not extend the retention period of previously uploaded images.

UnitPrints may, but is not obligated to, notify customers prior to deletion.

Customers should not rely on Free Accounts for permanent or archival image storage.

14. Storage+ Subscription

Storage+ is a paid subscription that provides extended cloud image storage and additional features as described on the UnitPrints website.

While a Storage+ subscription remains active and in good standing:

• mages remain eligible for continued storage;

• customers may continue ordering from stored images;

• galleries remain accessible, subject to these Terms.

Storage+ benefits apply only while the subscription remains active.

15. UnitPrints Pro Subscription

UnitPrints Pro is a professional subscription program that includes enhanced storage, professional workflow tools, pricing benefits, and additional services.

While a UnitPrints Pro subscription remains active:

• images remain eligible for continued storage;

• galleries remain accessible;

• professional account benefits remain available.

Specific features may change over time.

16. Subscription Expiration

If a paid subscription expires due to cancellation, failed payment, or non-renewal:

the subscription benefits immediately end.

Customers may lose access to subscription-only features.

Image retention after expiration is governed by the applicable retention policy.

17. Grace Period Following Subscription Expiration

Following expiration of a Storage+ or UnitPrints Pro subscription, UnitPrints may retain stored images for a limited grace period to allow the customer an opportunity to renew.

The current grace period is:

90 calendar days

during which:

• customers may renew their subscription;

• eligible images remain available for restoration of subscription benefits;

• UnitPrints may send courtesy reminder emails.

The grace period is provided solely as a customer convenience.

UnitPrints reserves the right to shorten, extend, or eliminate the grace period in the future upon reasonable notice through updated Terms or published policies.

18. Courtesy Reminder Emails

During an applicable grace period, UnitPrints may send reminder emails regarding:

• subscription expiration;

• upcoming image deletion;

• renewal opportunities;

• storage status.

These communications are provided as a courtesy.

Failure to receive a reminder email—including due to spam filtering, incorrect email addresses, full mailboxes, bounced messages, or technical issues—does not delay or prevent image deletion.

Customers remain responsible for maintaining current contact information.

19. Permanent Image Deletion

Once an image becomes eligible for deletion under the applicable retention policy, UnitPrints may permanently remove the image from production systems, backups, disaster recovery systems, archives, and all associated storage infrastructure.

Once permanently deleted:

• images cannot be recovered;

• print history may remain for accounting purposes;

• deleted image files cannot be restored.

Customers acknowledge that permanent deletion is irreversible.

20. Customer Backup Responsibility

Customers acknowledge that UnitPrints is not an archival storage provider.

Although UnitPrints utilizes enterprise-grade cloud infrastructure, including services hosted through Amazon Web Services and other trusted technology providers, customers remain solely responsible for maintaining backup copies of all original image files.

Customers should always maintain at least one additional copy of their photographs using their own local storage, cloud storage provider, or other backup solution.

UnitPrints shall not be liable for loss of images resulting from:

• customer deletion;

• account closure;

• expiration of storage periods;

• subscription non-renewal;

• accidental deletion by the customer;

• data corruption originating from customer files;

• force majeure events;

• hardware failures;

• software failures;

• cyberattacks;

• internet outages;

• cloud infrastructure failures;

• disaster recovery events.

21. Storage Availability

While UnitPrints strives to maintain continuous availability, we do not guarantee uninterrupted access to stored images.

Maintenance, software upgrades, hardware replacement, cloud provider outages, internet failures, security events, and other unforeseen circumstances may temporarily affect access to customer images.

UnitPrints shall not be liable for temporary interruptions of service.

22. Image Integrity

Customers are responsible for ensuring uploaded files are complete and free from corruption.

UnitPrints does not warrant that uploaded files:

• are free from corruption;

• accurately represent the original source;

• remain unaltered if the original upload contained errors.

Customers are encouraged to verify important uploads after submission.

23. Storage Policy Changes

Technology and storage costs change over time.

Accordingly, UnitPrints reserves the right to modify:

• storage limits;

• retention periods;

• subscription benefits;

• pricing;

• storage capacity;

• available plans.

Material changes will become effective upon publication of updated Terms or other reasonable notice.

Continued use of the Services after such changes constitutes acceptance of the revised policies.

24. No Bailment Relationship

Customer images are stored solely for the purpose of providing the Services described in these Terms.

Nothing in these Terms creates a bailment, custodial, fiduciary, or trustee relationship between UnitPrints and the customer.

Customers retain ownership of their images and remain solely responsible for preserving their originals.

UNITPRINTS TERMS OF SERVICE

Part 3 – Orders, Printing, Payments & Fulfillment25. Orders

By placing an order through UnitPrints, you represent that:

• you are authorized to purchase the products ordered;

• all information provided is accurate;

• you have reviewed your order before submitting it.

Once an order enters production, it may not be canceled or modified except at UnitPrints’ sole discretion.

Production often begins within minutes of order submission.

26. Pricing

All prices are displayed in U.S. Dollars unless otherwise stated.

Prices are subject to change without prior notice.

Pricing errors may occasionally occur.

If an order is affected by an obvious pricing error, UnitPrints reserves the right to:

• cancel the order;

• correct the pricing;

• issue a refund;

• contact the customer for approval before proceeding.

Published promotions may not be combined unless expressly stated.

27. Taxes

Applicable federal, state, provincial, and local taxes will be collected where required by law.

Customers are responsible for any customs duties, import taxes, VAT, brokerage fees, or similar charges imposed by their jurisdiction.

28. Payment

Payment is due at the time an order is placed unless separate billing arrangements have been approved.

Accepted payment methods may include:

• credit cards;

• debit cards;

• digital wallets;

• account credit;

• gift certificates;

• approved business billing accounts.

UnitPrints reserves the right to refuse any payment method.

Orders with declined or fraudulent payments will not enter production.

29. Fraud Prevention

To protect customers and the Company, UnitPrints may review orders for fraud.

We reserve the right to:

• request additional verification;

• delay shipment;

• refuse suspicious transactions;

• cancel fraudulent orders.

UnitPrints is not responsible for delays resulting from fraud prevention procedures.

30. Image Preparation

Customers are solely responsible for ensuring uploaded files are production-ready.

This includes:

• proper resolution;

• correct dimensions;

• appropriate cropping;

• color space;

• file quality;

• orientation;

• spelling;

• layout accuracy.

Unless specifically ordered as a color correction service, UnitPrints prints files substantially as submitted.

31. Recommended Color Space

For the most accurate color reproduction, UnitPrints recommends that all files be submitted in the sRGB IEC61966-2.1 color space.

Files submitted in Adobe RGB, ProPhoto RGB, Display P3, CMYK, or other color spaces may produce unexpected color shifts depending on the printing process.

Customers are responsible for proper color management prior to upload.

32. Color Accuracy

Photography involves many variables beyond UnitPrints’ control, including:

• monitor calibration;

• monitor brightness;

• ambient lighting;

• camera settings;

• editing software;

• printer technology;

• paper characteristics;

• ink chemistry.

Because of these variables, UnitPrints cannot guarantee exact color matching between:

• digital displays;

• previous print runs;

• other print labs;

• photographic papers;

• commercial printing processes.

Reasonable color variation is not considered a manufacturing defect.

33. Cropping

Images may require cropping to match the selected print size or product dimensions.

Customers are responsible for reviewing crop previews before placing an order.

If a crop preview is unavailable for a particular product, UnitPrints may crop images using standard production practices.

UnitPrints is not responsible for important subjects positioned near image edges.

34. Print Quality

UnitPrints strives to produce products meeting professional photographic industry standards.

Minor variations may occur in:

• color;

• density;

• contrast;

• sharpness;

• trimming;

• bleed;

• alignment;

• finishing.

Such variations are considered normal manufacturing tolerances.

35. Commercial Printing

Commercial printing products may involve different manufacturing processes than photographic printing.

Variations in:

• paper texture;

• toner;

• ink;

• UV coating;

• lamination;

• trimming;

• folding;

• die cutting;

• finishing;

are normal and do not constitute defects.

36. Customer Proofing

Customers are responsible for reviewing all proofs before ordering.

This includes verification of:

• spelling;

• grammar;

• layout;

• image selection;

• orientation;

• personalization;

• dates;

• addresses;

• quantities.

UnitPrints is not responsible for customer-approved errors.

37. Production Times

Published production times are estimates only.

production may vary due to:

• seasonal demand;

• equipment maintenance;

• supply shortages;

• weather;

• holidays;

• carrier disruptions;

• unforeseen operational events.

Production estimates are not guaranteed unless expressly stated.

38. Shipping

Shipping dates and delivery estimates are provided as approximations.

Once an order is delivered to the shipping carrier, delivery times are controlled by that carrier.

UnitPrints is not liable for delays caused by:

• UPS;

• FedEx;

• USPS;

• DHL;

• customs agencies;

• weather;

• natural disasters;

• transportation interruptions;

• labor disputes.

39. Shipping Address Accuracy

Customers are responsible for providing complete and accurate shipping addresses.

UnitPrints is not responsible for delays, returned shipments, or additional shipping charges resulting from incorrect or incomplete addresses provided by the customer.

40. Risk of Loss

Risk of loss transfers to the customer upon delivery of the order to the shipping carrier.

Customers should inspect shipments promptly upon delivery.

Any visible shipping damage should be reported to both the carrier and UnitPrints as soon as reasonably possible.

41. Lost or Damaged Shipments

If an order is lost or arrives damaged in transit:

• customers should notify UnitPrints promptly;

• UnitPrints may investigate with the carrier;

• replacement or refund decisions will be made at UnitPrints’ discretion and in accordance with applicable carrier policies.

42. Returns

Because most UnitPrints products are custom manufactured using customer-supplied images, products generally cannot be returned for resale.

Returns may be accepted only when:

• the product contains a verified manufacturing defect;

• the incorrect product was produced;

• the wrong item was shipped.

43. Reprints

If UnitPrints determines that a product contains a manufacturing defect, our sole obligation may include:

• reprinting the product;

• replacing the product;

• issuing store credit;

• refunding the purchase price.

The chosen remedy will be determined by UnitPrints.

44. Satisfaction

Customer satisfaction is extremely important to us.

If you believe an order contains a manufacturing issue, please contact Customer Support as soon as possible and provide photographs or other documentation that reasonably demonstrates the issue.

Prompt reporting allows us to investigate while production records remain available.

45. Order Refusal

UnitPrints reserves the right to refuse any order, including orders that:

• violate copyright;

• contain unlawful content;

• infringe intellectual property rights;

• violate these Terms;

• present fraud concerns;

• exceed production capabilities;

• pose safety or legal risks.

Any payment collected for a refused order will generally be refunded.

46. Promotional Offers

Coupons, discounts, reward credits, referral programs, and promotional offers:

• have no cash value unless required by law;

• may expire;

• may be modified or discontinued at any time;

• may not be transferred unless expressly permitted.

Part 4 – Legal Protections, Liability & General Provisions

47. Copyright Policy

UnitPrints respects the intellectual property rights of others.

You may upload only content that you own or have the legal right to reproduce, store, distribute, display, and print.

By submitting content, you represent and warrant that:

• you own the copyright; or

• you have obtained all necessary licenses, permissions, model releases, and property releases required for your intended use.

Customers are solely responsible for any claims arising from uploaded content.

48. Copyright Complaints (DMCA)

If you believe material hosted by UnitPrints infringes your copyright, you may submit a written copyright infringement notice that complies with the Digital Millennium Copyright Act (“DMCA”).

A valid notice should include:

• identification of the copyrighted work;

• identification of the allegedly infringing material;

• sufficient information to locate the material;

• your contact information;

• a statement made under penalty of perjury that you have a good-faith belief the use is unauthorized;

• your physical or electronic signature.

Upon receiving a valid notice, UnitPrints may remove or disable access to the material while the claim is reviewed.

UnitPrints reserves the right to terminate accounts of repeat copyright infringers.

49. Account Suspension & Termination

UnitPrints may suspend or terminate any account, with or without prior notice, if we reasonably determine that the account:

• violates these Terms;

• infringes intellectual property rights;

• engages in fraudulent activity;

• threatens the security or integrity of our systems;

• interferes with other users;

• creates unreasonable operational burdens;

• violates applicable law.

Termination does not relieve the customer of outstanding payment obligations.

50. Effect of Termination

Upon termination:

• access to the Services may immediately cease;

• subscription benefits may end;

• galleries may become inaccessible;

• stored images may be deleted according to the applicable retention policy;

• outstanding balances remain payable.

Certain provisions of these Terms—including ownership, intellectual property, indemnification, limitation of liability, disclaimers, governing law, and dispute resolution—will survive termination.

51. Third-Party Services

The Services may integrate with or rely upon third-party providers, including payment processors, cloud infrastructure providers, shipping carriers, software platforms, and authentication services.

UnitPrints does not control the availability or performance of third-party services and is not responsible for interruptions, failures, or actions of such providers.

Use of third-party services may also be subject to their own terms and privacy policies.

52. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITPRINTS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

• MERCHANTABILITY;

• FITNESS FOR A PARTICULAR PURPOSE;

• NON-INFRINGEMENT;

• TITLE;

• QUIET ENJOYMENT;

• ACCURACY;

• AVAILABILITY;

• UNINTERRUPTED SERVICE;

• ERROR-FREE OPERATION.

UNITPRINTS DOES NOT WARRANT THAT:

• THE SERVICES WILL ALWAYS BE AVAILABLE;

• STORED IMAGES WILL NEVER BE LOST;

• ORDERS WILL ALWAYS BE ERROR-FREE;

• THE WEBSITE WILL OPERATE WITHOUT INTERRUPTION;

• DEFECTS WILL ALWAYS BE CORRECTED.

53. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITPRINTS, COLOR INC., ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR:

• LOST PROFITS;

• LOST BUSINESS;

• LOST REVENUE;

• LOST GOODWILL;

• LOST DATA;

• LOST IMAGES;

• LOST OPPORTUNITIES;

• BUSINESS INTERRUPTION;

• INCIDENTAL DAMAGES;

• INDIRECT DAMAGES;

• SPECIAL DAMAGES;

• CONSEQUENTIAL DAMAGES;

• PUNITIVE DAMAGES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY, OR OTHERWISE.

54. Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITPRINTS’ TOTAL LIABILITY ARISING FROM ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM; OR

• ONE HUNDRED U.S. DOLLARS ($100.00).

THIS LIMITATION APPLIES EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

55. Indemnification

You agree to defend, indemnify, and hold harmless UnitPrints, Color Inc., its officers, directors, employees, contractors, affiliates, successors, and assigns from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• your use of the Services;

• your uploaded content;

• your violation of these Terms;

• your infringement of any intellectual property rights;

• your violation of applicable law.

56. Force Majeure

UnitPrints shall not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including but not limited to:

• natural disasters;

• fire;

• flood;

• severe weather;

• pandemic;

• epidemic;

• war;

• terrorism;

• civil unrest;

• labor disputes;

• utility failures;

• internet outages;

• cloud infrastructure failures;

• cyberattacks;

• governmental actions;

• supply chain disruptions;

• transportation interruptions;

• equipment failures.

Performance shall be suspended for the duration of such events.

57. Electronic Communications

By creating an account, you consent to receive electronic communications from UnitPrints, including:

• order confirmations;

• invoices;

• shipping notifications;

• account notices;

• renewal reminders;

• storage notifications;

• legal notices;

• service announcements.

These communications satisfy any legal requirement that communications be in writing.

Marketing communications remain subject to applicable opt-out rights.

UnitPrints continually improves its Services.

Accordingly, we reserve the right to:

• modify features;

• discontinue products;

• change subscription offerings;

UnitPrints may update these Terms from time to time.

Material changes will become effective upon posting the revised Terms on our website or providing other reasonable notice.

The “Last Updated” date at the beginning of these Terms will reflect the effective revision date.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those changes.

60. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Any invalid provision shall be modified only to the extent necessary to make it enforceable while preserving its original intent as closely as possible.

Failure by UnitPrints to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

62. Assignment

Customers may not assign or transfer these Terms without the prior written consent of UnitPrints.

UnitPrints may assign these Terms, in whole or in part, to an affiliate, successor, purchaser, or as part of a merger, acquisition, sale of assets, or corporate reorganization.

63. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and UnitPrints regarding the Services and supersede all prior agreements, understandings, and communications relating to the subject matter.

64. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.

65. Venue

Unless otherwise required by applicable law, any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Travis County, Texas, and each party consents to the jurisdiction of those courts.

Note: Since Color Inc./UnitPrints is now headquartered in the Austin/Lakeway area, Travis County is generally a better venue than Williamson County unless your business operations are principally located there. Confirm this with your attorney.
